It's not overrated if you're a member or if you don't have an AP, because you get complimentary parkhopper passes with your reservation, which alone would cost over $100. So you spend that on the meal instead. And yeah, the food by itself isn't necessarily worth the price, but figure in the admission to the park and the excvlusivity of the club -- and the cocktails above Pirates of the Caribbean -- and it's pretty cool.
If you're a member, the club treats you like gold. Specially prepared dishes from the chef, lots of park perks, like instant fastpasses, complimentary valet parking at the Grand California Hotel, unescourted access to the Lilly Belle parlour car, admission to both parks for you and a friend anytime, regardless of whether or not you visit Club 33, special members' only behind the scene events, etc. I think a lot of people don't realize that it's just not about the food, which admittedly should be a little more refined. And frequently there are WAY too many guests versus members at any one time, which can dilute the sophisticated experience it should be. But by and large, I think Club 33 is very cool.

I figured folks joined Club 33 solely for the ability to drink in the House of Mouse. I know I NEED a drink while I'm there.....
Membership only really makes sense for those that live in SoCal in my opinion though. For those that have to travel there, and don't do so frequently, not worth it...

I tend to agree. Although there are corporate members as well, and for various business reasons it's a good perk to have. But then there are those who live halfway around the world and practically never come, and for individual members the annual dues are $3,500. Seems like a lot if you don't use it. But to each his own.
